These Terms of Use apply to the public website, marketing pages, informational resources, request-a-demo pages, contact forms, waitlists, trial access pages, public documentation, downloadable content, and any other generally accessible online resources controlled by Prodigy Intelligence.
Certain areas of the Platform or certain services may be subject to additional terms, including the Terms of Service, EULA, trial terms, privacy notices, cookie notices, or campaign-specific terms. If you enroll in or use paid or account-based services, additional contractual terms will apply.
You may use the Platform only if you are legally capable of entering into binding agreements and your use is not prohibited by applicable law.
If you access the Platform on behalf of an organization, you represent and warrant that you are authorized to do so and that the organization will be bound by these Terms of Use as applicable.

You will not: (a) copy, reproduce, distribute, republish, display, scrape, mirror, or frame the Platform or any portion thereof except as expressly permitted by law or by Prodigy Intelligence in writing; (b) use bots, crawlers, spiders, scripts, automated tools, or other means to access or collect data from the Platform except as expressly authorized; (c) attempt to gain unauthorized access to any account, system, network, or data; (d) interfere with or disrupt the Platform or its infrastructure; (e) upload or transmit malicious code, malware, ransomware, or other harmful materials; (f) misrepresent your identity, affiliation, qualifications, or purpose; (g) submit false, misleading, or fraudulent information through contact, demo, trial, employment, or other forms; (h) use the Platform to transmit unlawful, defamatory, infringing, abusive, or harassing content; (i) use the Platform to conduct unlawful surveillance, unconsented monitoring, or prohibited investigations; (j) reverse engineer or attempt to derive source code, models, prompts, system instructions, workflow logic, or proprietary functionality from any accessible interface, demo, or content; (k) circumvent access restrictions, geo-blocking, authentication systems, rate limits, or other technical controls; or (l) use the Platform in any way that could subject Prodigy Intelligence or others to legal, regulatory, security, reputational, or operational harm.
You may not misstate, exaggerate, or mischaracterize the capabilities of Coyote or any Prodigy Intelligence offering, including by claiming that the Platform or Services determine truthfulness or deception as a matter of fact.
The Platform may include product descriptions, use cases, thought leadership, white papers, articles, graphics, videos, demo materials, marketing content, and other information. Such materials are for general informational purposes only.
Nothing on the Platform constitutes legal advice, forensic advice, compliance advice, medical advice, mental health advice, employment advice, investigative advice, scientific certification, or any other professional advice or opinion.
Any descriptions of features, workflows, analyses, or possible benefits are illustrative only. Prodigy Intelligence does not warrant that use of any product or service will achieve any particular outcome, accuracy level, investigative conclusion, compliance status, or business result.
Where the Platform references Coyote’s capabilities or provides access to demonstrations, examples, trial features, or generated materials, any resulting outputs, examples, classifications, summaries, indicators, or risk signals are probabilistic, inferential, and advisory only.
Neither the Platform nor any referenced product determines whether any person is truthful, deceptive, honest, dishonest, credible, or non-credible as a matter of fact.
AI systems may hallucinate, misinterpret inputs, omit material context, or generate inaccurate, incomplete, biased, offensive, or misleading content. Any output or example shown on or through the Platform must be independently evaluated by qualified human decision-makers.
You must not rely on any Platform content, demonstration, trial output, or generated material as the sole basis for employment action, termination, discipline, law enforcement action, criminal accusation, immigration decision, insurance decision, academic discipline, healthcare decision, mental health determination, or any other high-impact or legally significant decision.
Prodigy Intelligence does not represent that any platform content, example, output, or demo result is admissible as evidence, regulator-approved, scientifically validated for any particular legal or jurisdictional purpose, or appropriate for use without independent human review.
If you submit contact information, business information, requests for demos, requests for trials, support questions, comments, or other materials through the Platform, you represent and warrant that the information is accurate and that you have all rights necessary to provide it.
You grant Prodigy Intelligence a non-exclusive, worldwide, royalty-free right to use, store, reproduce, process, transmit, and respond to your submissions as necessary to operate the Platform, respond to requests, provide demos, evaluate opportunities, support users, maintain records, and improve offerings.
Unless expressly agreed otherwise in writing, Prodigy Intelligence has no obligation to treat unsolicited ideas, feature requests, suggestions, or business proposals as confidential and may use them without restriction or compensation.
The Platform, and all text, graphics, logos, marks, icons, interfaces, audio, video, layouts, downloads, software elements, documentation, images, reports, design elements, and other materials available on or through the Platform, are owned by or licensed to Prodigy Intelligence and are protected by intellectual property and other laws.

“Prodigy Intelligence,” “Coyote,” and related names, logos, slogans, and marks are trademarks or service marks of Prodigy Intelligence or its licensors. No license or right to use any trademark is granted without prior written consent.

Prodigy Intelligence does not endorse, control, or assume responsibility for any third-party materials, websites, services, policies, or content.
Your use of third-party sites or services is governed solely by the terms and policies of the applicable third party.
Certain areas of the Platform may require registration or credentials. You are responsible for maintaining the confidentiality of credentials and for all activities under your account.
You must provide accurate, current, and complete information when creating accounts or using gated areas of the Platform.
Prodigy Intelligence may suspend or terminate access to gated or restricted portions of the Platform at any time for security, misuse, policy, or business reasons.
Use of the Platform may involve collection of account information, usage data, device data, cookie data, and materials you submit. Your use of the Platform is subject to the applicable privacy disclosures made available by Prodigy Intelligence.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODIGY INTELLIGENCE AND ITS AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER NON-DIRECT DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS OF USE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PRODIGY INTELLIGENCE AND ITS AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS OF USE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
You will defend, indemnify, and hold harmless Prodigy Intelligence and its affiliates, officers, directors, employees, contractors, licensors, suppliers, and service providers from and against any claims, liabilities, damages, losses, judgments, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms of Use; (c) your submissions, requests, or other materials provided through the Platform; (d) your violation of law or third-party rights; (e) your misuse of any demos, examples, or outputs; (f) your unlawful collection, upload, or disclosure of text, audio, video, transcripts, voice, likeness, personal information, or other materials; or (g) any decision or action you take based on Platform content, examples, or generated materials.
Prodigy Intelligence may suspend, block, or terminate your access to the Platform at any time, with or without notice, if it believes you have violated these Terms of Use, used the Platform inappropriately, or created legal, security, operational, or reputational risk.
Prodigy Intelligence reserves all rights and remedies available at law or in equity, including injunctive relief, in connection with misuse of the Platform, infringement of intellectual property, unauthorized scraping, or misuse of Confidential Information.
These Terms of Use are governed by the laws of the State of Delaware, U.S.A., without regard to conflict of laws principles.
Before filing a formal proceeding, you agree to first provide written notice of the dispute and attempt in good faith to resolve the matter informally for at least thirty (30) days.
Except for claims by Prodigy Intelligence seeking injunctive or equitable relief relating to intellectual property, confidentiality, security, or misuse of the Platform, disputes arising out of or relating to these Terms of Use or the Platform will be resolved by confidential, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in Wilmington, Delaware.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL DISPUTES MUST BE PURSUED ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, COLLECTIVE, MASS, OR REPRESENTATIVE ACTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PRODIGY INTELLIGENCE WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PERMITTED COURT PROCEEDING RELATING TO THESE TERMS OF USE OR THE PLATFORM.
Prodigy Intelligence may modify these Terms of Use at any time by posting updated terms to the Platform. Your continued use after the effective date of revised terms constitutes acceptance.
You may not assign these Terms of Use without Prodigy Intelligence’s prior written consent. Prodigy Intelligence may assign these Terms of Use without restriction.
Prodigy Intelligence will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet failures, cyberattacks, utility failures, governmental action, epidemics, pandemics, or failures of third-party infrastructure.
These Terms of Use constitute the entire agreement between you and Prodigy Intelligence regarding the subject matter herein, except as supplemented by other applicable terms for specific products or services.
If any provision of these Terms of Use is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Failure by Prodigy Intelligence to enforce any provision will not constitute a waiver of that provision or any other provision.
These Terms of Use do not create any third-party beneficiary rights except as expressly stated.
